Zetwerk bags Rs 500 crore pre-IPO from Bharat Value Fund

The B2B manufacturing marketplace raised a Rs 500 crore pre-IPO round at about a $4 billion valuation, days after clearing a key regulatory hurdle for its listing.

The signal
  • Rs 500 crore, about $52 Mn, came from Bharat Value Fund
  • The round values Zetwerk at roughly $4 billion
  • It follows SEBI observations on Zetwerk's confidential IPO filing
  • Total funding to date crosses $700 Mn from Peak XV, Lightspeed and others

Zetwerk has raised Rs 500 crore, about $52 million, in a pre-IPO round from Bharat Value Fund, a SEBI-registered category II fund sponsored by the Pantomath Group. The round values the B2B manufacturing marketplace at roughly $4 billion and lands just days after the market regulator issued observations on Zetwerk’s confidential IPO filing, in effect clearing its path to list.

Zetwerk runs a contract-manufacturing model: enterprise customers supply product designs, and Zetwerk manages vendor selection, procurement, production, quality control, logistics and delivery through its network of manufacturing partners. The company has now raised more than $700 million across its life, from backers including Peak XV Partners, Lightspeed and Mars Growth Capital.

Why it matters

Pre-IPO rounds like this one do quiet but important work. They tidy the cap table, hand new institutional investors an entry point before the public float, and set a fresh valuation reference the offering can anchor to. For anyone building in commerce and supply chain, Zetwerk is a reminder that the biggest cheques in Indian ecommerce this month went to B2B rails, not consumer apps. The manufacturing and sourcing layer that sits behind private-label and D2C brands is being treated as an investable, IPO-ready category in its own right. As Zetwerk moves toward a listing at a $4 billion mark, expect more scrutiny of contract-manufacturing margins and whether an asset-light marketplace can hold its economics at scale.
