Acceptance of these terms
These Terms & Conditions (“Terms”) govern your access to and use of this website and any services, communications, quotations, proposals, meetings or engagements offered by or through Zane (“Zane”, “we”, “us” or “our”). By accessing or using this website, by submitting any form, by booking or attending a meeting, or by engaging us for any service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use this website or our services.

Custom agreements and order of precedence
For certain clients and certain services, we may enter into separate, custom written agreements, proposals, statements of work or order forms (“Custom Agreements”). Any Custom Agreement is supplementary and additional to these Terms and to our Privacy Policy. A Custom Agreement does not replace, override, dilute, waive or limit these Terms or the Privacy Policy in any way, all of which continue to apply in full. In the event of any inconsistency, these Terms and the Privacy Policy prevail, and a Custom Agreement is read so as to give maximum effect to them.
Eligibility and authority
You must be at least eighteen (18) years old and able to form a legally binding contract to use this website or engage our services. If you act on behalf of a company or other entity, you represent and warrant that you are authorised to bind that entity, and “you” includes that entity.
Use of the website
You agree to use the website only for lawful purposes. You must not: copy, scrape, harvest, frame, mirror or republish any part of the site; reverse engineer or attempt to gain unauthorised access; introduce malware or interfere with the site’s operation; misuse our content or marks; or use the site in any way that infringes any rights or any applicable law. You must not link to, deep-link to, frame or embed this website, in whole or in part, without our prior written consent. All content on the website is provided for general information only, may contain errors or inaccuracies, and may be changed or removed at any time without notice; it is your responsibility to ensure that the website and any services meet your own requirements, and you use them at your own risk.
Our services
We provide commerce onboarding, account management, growth, performance and related operational services, and assistance with market entry in India. The specific scope of any paid engagement is as set out in the relevant proposal, quotation, order or Custom Agreement. We may decline, modify or discontinue any service at our discretion.
Third-party platforms and no guarantee of outcomes
Our services involve facilitation, coordination and communication with third-party platforms, marketplaces, quick-commerce networks, dark stores and other parties (for example, and without limitation, Blinkit, Zepto, Swiggy Instamart, Flipkart, Amazon, Myntra and Nykaa). We have no control over, and accept no responsibility or liability for, the decisions, policies, actions, omissions, timelines, fees, suspensions, delistings, payouts, rankings or outcomes of any such third party. We do not and cannot guarantee any listing, approval, ranking, visibility, sales, revenue, growth or other result. All outcomes are subject to factors outside our control, and you accept this risk in full.
Compliance and regulatory assistance
Where engaged to do so, we assist with and help facilitate regulatory and compliance processes (which may include company/entity setup, IEC, GST, FSSAI and similar matters). Such assistance is facilitation only; we do not guarantee any approval, registration or outcome, and nothing we provide constitutes legal, tax, accounting or other professional advice. You are responsible for the accuracy and completeness of the information you provide and for obtaining independent professional advice where appropriate.
Your responsibilities
You agree to: provide accurate, complete and timely information, approvals, access and materials; ensure your products, claims and operations are lawful and compliant; respond promptly to our requests; and pay all fees when due. Delays or inaccuracies on your part may affect timelines and outcomes, for which we are not responsible.
Fees and payment
- Onboarding is typically charged as a defined project fee.
- Account management is typically charged as a monthly retainer on a 30-day rolling basis.
- Growth and performance services are typically structured around scope and results.
Exact fees are as stated in the applicable proposal, quotation, order or Custom Agreement. All fees are exclusive of taxes (including GST), which you will pay in addition. Unless stated otherwise, invoices are due on receipt. We may charge interest on, suspend services for, or withhold deliverables in respect of overdue amounts. All amounts are payable in the currency invoiced. Where payments are made through third-party payment providers, acquiring banks or issuing banks, we are not responsible or liable for any failed, declined, delayed or interrupted transaction, including any authorisation decline by an acquiring or issuing bank or payment processor.
Cancellations and refunds
Cancellations and refunds are governed exclusively by our Cancellations & Refunds Policy, which forms part of these Terms. Except as expressly set out there, all fees are non-refundable.
Intellectual property
All content, design, code, text, graphics, logos and marks on this website, together with our methodologies, frameworks, processes, templates, tools and know-how, are and remain the exclusive property of Zane and its licensors, and are protected by applicable intellectual property laws. Nothing on the website transfers any right in them to you. Unauthorised reproduction, copying, distribution or use of any part of the website or our materials is strictly prohibited and may result in civil proceedings for damages and/or criminal prosecution.
You grant us a non-exclusive, royalty-free licence to use your name, brand name, logos, trademarks, content and materials as reasonably required to perform the services and as described under “Publicity” below. Any deliverables we create for you under a paid engagement are licensed to you only upon our receipt of full payment, and we retain ownership of all underlying and pre-existing materials, tools, methods and know-how, and the right to reuse generic skills, techniques and learnings.
Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only as needed for the engagement, except where disclosure is required by law or to a party’s professional advisers or service providers under similar duties of confidence.
Testimonials, case studies and publicity
Unless we agree otherwise in writing, you grant us the right to identify you as a client and to use your name, brand name, logo and a description of the work and results (including metrics) in our portfolio, website, case studies, proposals, marketing and publicity.
Disclaimers
The website and our services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or availability, to the maximum extent permitted by law. We do not warrant that the website will be uninterrupted, secure or error-free.
Limitation of liability
To the maximum extent permitted by applicable law, in no event will Zane, its owners, directors, employees, contractors or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business or opportunity, however arising, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the website, these Terms, the Privacy Policy and any service or engagement, whether in contract, tort (including negligence), statute or otherwise, is limited to a maximum of INR 10,000 (Indian Rupees Ten Thousand only) in aggregate.
Indemnity
You agree to indemnify, defend and hold harmless Zane and its owners, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your use of the website, your breach of these Terms, your products, content or materials, or your violation of any law or third-party right.
Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, failures of utilities, internet or third-party platforms, or governmental or regulatory action.
Suspension and termination
We may suspend or terminate your access to the website or any service at any time, with or without cause or notice, including for non-payment or breach of these Terms. Provisions that by their nature should survive termination (including fees due, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law) will survive.

Changes to these terms
We may modify these Terms at any time. Changes take effect when posted on this page, and your continued use of the website or our services after that constitutes acceptance. Please review this page periodically.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of India. You and we submit to the exclusive jurisdiction of the courts at Faridabad, Haryana, India, in respect of any dispute or claim arising out of or in connection with these Terms, the website or our services.
General
If any provision is held unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right is not a waiver. You may not assign or transfer your rights or obligations without our prior written consent; we may assign ours freely. These Terms, together with the Privacy Policy and Cancellations & Refunds Policy (and any applicable Custom Agreement, on a supplementary basis), constitute the entire agreement between you and us regarding the website and supersede all prior understandings on that subject.
