Fashion brand Theater raises Rs 56.25 crore Series A

Digital-first fashion and lifestyle brand Theater has raised Rs 56.25 crore, about $6 million, in a Series A led by Niveshaay. Entrackr estimates the post-money valuation at around Rs 402 crore, a 4.5X step up from a previous Rs 90 crore.

Digital-first fashion and lifestyle brand Theater has raised Rs 56.25 crore, about $6 million, in a Series A round led by Niveshaay. Entrackr reported the round on 9 September, working from the company’s regulatory filings.

The board approved the issue of 2,145 Series A compulsorily convertible preference shares at Rs 2,62,224 each. That share count and that price multiply out to the Rs 56.25 crore the report states, so the filing detail and the headline number agree.

Niveshaay put in Rs 37 crore. FirstPort Capital invested Rs 12.81 crore and Skagen Ventures Rs 3.36 crore. Saket Agarwal, Vishal Julka and IPV International also participated, at amounts the report does not disclose. Those undisclosed cheques are what the named subtotal falls short by. There is no contradiction in the round total.

The Rs 402 crore, about $43 million, post-money valuation is Entrackr’s own estimate, not a figure the company or its investors disclosed. The outlet calls it a 4.5X increase on a previous Rs 90 crore. The estimate is internally consistent with the stakes in the same filing: Niveshaay’s Rs 37 crore against its 9.20% post-allotment holding and FirstPort’s Rs 12.81 crore against 3.19% both point at the same post-money number. The headline says Rs 400 crore; the body says Rs 402 crore.

After the allotment, Eternal Emerging Enterprises Fund is the largest institutional shareholder at 9.71%, ahead of Niveshaay at 9.20%, FirstPort Capital at 3.19% and Vishal Julka at 2.54%. Theater raised $1.5 million in a pre-Series A led by Prath Ventures in September 2024. A Moneycontrol report had earlier put the talks at $4 million to $5 million.

Theater reported FY25 operating revenue of Rs 33.35 crore on 2.37X growth and has not filed FY26 numbers. It sells shoes, bags, stockings, socks, perfumes and other accessories for men and women, and the source describes it as a five-year-old company.

For Indian brand operators the read is about appetite, not scale. Rs 33.35 crore of FY25 revenue supported a 4.5X valuation step on the outlet’s estimate. Investors are still paying up for digital-first fashion with a clean growth curve. Niveshaay has been building that book, backing Mokobara and XYXX recently, after earlier positions in Naturis Cosmetics and Innovist.
