DealShare: sale talks reported as options narrow

Entrackr reports that DealShare is in acquisition talks with TrueMeds and Captain Fresh, citing unnamed sources who requested anonymity. No party contacted for the story confirmed anything, and no deal value is stated.

The signal
  • Entrackr's report rests entirely on unnamed sources who requested anonymity, and none of the parties contacted confirmed the talks or a deal value.
  • FY25 revenue from operations was Rs 432 crore, a 13.4% decline from Rs 499 crore in FY24, against Rs 1,963 crore in FY23.
  • The FY25 loss narrowed to Rs 87.65 crore from Rs 167 crore in FY24, so losses shrank in the same year that revenue fell again.
  • Both named suitors share an investor with DealShare per the report, WestBridge Capital with TrueMeds and Matrix Partners India / Z47 with Captain Fresh.

DealShare, an ecommerce platform for groceries and household essentials, is in talks with online pharmacy platform TrueMeds and meat and seafood e-retailer Captain Fresh over a possible acquisition, Entrackr reported on 25 August. Read the sourcing before the substance: every detail in that report comes from unnamed sources who requested anonymity, and none of the parties contacted confirmed anything. No deal value is stated.

One source told Entrackr that “DealShare is effectively at a point where it has two options: find a buyer or shut down”. That is an anonymous characterisation, not a company statement. DealShare has not said it is being acquired, and it has not said it will close.

The FY25 numbers cited explain why the question is live. Revenue from operations was Rs 432 crore in FY25, a 13.4% decline from Rs 499 crore in FY24. FY23 revenue was Rs 1,963 crore, so the step down into FY24 was far sharper than the one that followed it. FY26 accounts are not cited. The loss narrowed to Rs 87.65 crore in FY25 from Rs 167 crore in FY24, which is real, and it happened alongside a shrinking top line.

DealShare has raised $393 million to date, most recently $45 million from ADIA at a $1.7 billion valuation. Investors include Tiger Global, ADIA, Alpha Wave, Kora Investment, WestBridge Capital, described in the report as a common investor with TrueMeds, and Matrix Partners India / Z47, described as common with Captain Fresh and reported to have written off its investment entirely. That write-off claim also rests on unnamed sourcing.

The company laid off more than 100 employees in FY24. CEO Kamaldeep Singh and CFO Ashish Shah have exited, and all four co-founders, Vineet Rao, Shankar Bora, Sourjyendu Medda and Rajat Shikhar, have departed.

For an operator, the line to sit with is revenue, not loss. DealShare ran a social and community commerce model built for value-conscious buyers in smaller cities, and its reported revenue has moved one way for three years while quick commerce scaled. The report draws no causal link between those two things and you should not either. But if your smaller-city plan leans on group buying or referral-led acquisition, this is the case to stress-test it against before the budget is signed.
